1. General Agreement
These Terms & Conditions (“Terms”) govern the provision of all services by Pegasus Equine Freight (“Pegasus,” “we,” “us,” or “our”) to the Client (“you,” or “your”) relating to the sourcing, transportation, and logistics of horses and other equines. By engaging Pegasus for services, you acknowledge and agree to be bound by these Terms.
2. Services Provided
Pegasus Equine Freight provides specialized, end-to-end equine logistics solutions, which may include:
- Strategic Sourcing: Identification, evaluation, and negotiation for the purchase of elite horses from premier international facilities.
- International Transportation: Arrangement and management of IATA-compliant air freight, specialized sea freight, and dedicated ground transport.
- Compliance Management: Full coordination of veterinary health certifications, customs clearance, import/export permits, and mandatory Nigerian quarantine protocols.
- Post-Arrival Support: Coordination of ground delivery, stable acclimatization consultation, veterinary oversight, and performance guidance.
3. Client Obligations
You acknowledge and agree to the following obligations:
- Accuracy of Information: You warrant that all information provided to Pegasus regarding the horses, their health status, ownership, and value is accurate, complete, and true. Any inaccuracy that leads to fines, delays, or health issues shall be your sole responsibility.
- Payment: You agree to adhere to the specified payment schedule outlined in the Service Quote, including payment of non-refundable deposits and final balances prior to dispatch or delivery.
- Preparedness: You are responsible for ensuring your facility meets the necessary standards for receiving the imported horse, including adequate quarantine space and veterinary consultation as advised by Pegasus.
4. Pricing, Payments, and Quotes
- Service Quote: All service pricing will be detailed in a formal Service Quote provided by Pegasus. This quote includes a breakdown of costs (Cost Segregation), covering the purchase price (if applicable), international logistics, veterinary fees, insurance, and compliance charges (the All-In Price).
- Deposit: A non-refundable deposit is required to initiate strategic sourcing or to confirm a transport booking. This covers initial administrative costs, veterinary checks, and securing freight space.
- Fluctuation Clause: Prices quoted for international freight and customs duties are subject to change due to factors beyond Pegasus’s control, including currency fluctuations, regulatory changes, or unforeseen airline surcharges. We will notify you of any material changes promptly.
5. Risk, Liability, and Insurance
- Inherent Risk: You acknowledge that the transportation of live animals, especially internationally, involves inherent risks, including stress, injury, illness, and in rare cases, mortality. Pegasus will exercise all reasonable care and skill but is not liable for loss, injury, or death arising from causes inherent in the animal’s nature or transit unless directly caused by our gross negligence.
- Limitation of Liability: Pegasus’s liability for any claim arising out of these Terms (excluding liability for gross negligence or willful misconduct) shall be limited to the total value of the service fees paid by you for the specific transaction in question.
- Mandatory Insurance: You are required to secure and maintain adequate insurance coverage (Mortality and Transit Insurance) for the full declared value of the horse for the entire duration of the service provided by Pegasus. We will assist in coordinating this coverage but are not the insurance provider. Failure to secure adequate insurance is at the Client’s sole risk.
6. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. You irrevocably agree that the courts of Nigeria shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
7. Warranties and Disclaimers
Pegasus Equine Freight warrants that services will be performed with professional competence and due care. However, we make no warranties, express or implied, regarding the future performance, behavior, suitability for competition, or breeding success of any horse sourced on your behalf. All final purchasing decisions rely on the Client’s own assessment and due diligence.
